In the event of a conflict between these Terms and a Service Agreement, the Service Agreement will control with respect to the services covered by that agreement.

1. ABOUT AVIEL

Aviel provides professional audio, video, lighting, networking, control, integration, design, installation, programming, consulting, and related technology services for commercial, residential, hospitality, entertainment, corporate, studio, worship, and other environments.

Information presented on the Website is provided for general informational purposes and does not constitute a binding proposal, quote, scope of work, engineering specification, or guarantee of project cost, performance, availability, compatibility, or completion.

Any project-specific scope, pricing, equipment specifications, schedules, warranties, deliverables, and responsibilities will be established through a separate written agreement or other documentation provided by Aviel.

2. USE OF THE WEBSITE

You may use the Website only for lawful purposes and in accordance with these Terms.

You agree not to:

Actual project pricing and scope may vary based on site conditions, labor requirements, equipment availability, engineering requirements, permitting, changes requested by the client, third-party costs, unforeseen conditions, manufacturer changes, and other factors.

A project does not become binding upon Aviel merely because a prospective client submits an inquiry through the Website.

A binding obligation to provide services arises only when authorized representatives of Aviel and the client enter into an applicable written agreement or otherwise agree in writing to the applicable scope and terms.

5. THIRD-PARTY PRODUCTS AND SERVICES

Aviel may recommend, procure, install, integrate, configure, or support products and services manufactured or provided by third parties.

Third-party products and services may be subject to the manufacturer's or provider's own warranties, terms, licenses, limitations, policies, and support obligations.

Except where expressly stated otherwise in a written Service Agreement, Aviel does not independently warrant the performance, availability, compatibility, security, functionality, or continued support of third-party products or services.

Aviel is not responsible for changes, discontinuation, recalls, defects, vulnerabilities, outages, compatibility issues, or failures attributable to third-party products, platforms, software, networks, cloud services, manufacturers, or providers.

6. WEBSITE FORMS AND COMMUNICATIONS

If you submit information through a Website form, email, or other communication channel, you agree to provide information that is accurate and complete.

You authorize Aviel to use the information you provide to respond to your inquiry, communicate with you regarding requested services, provide estimates or proposals, and otherwise conduct legitimate business activities related to your inquiry.

Submitting a form does not create a client relationship, guarantee a response, or obligate Aviel to provide services.

  4. Your submission does not violate any confidentiality obligation.

You retain ownership of your User Content.

By submitting User Content to Aviel, you grant Aviel a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and otherwise use the User Content for legitimate business purposes, including operating, improving, marketing, and promoting Aviel, unless otherwise agreed in writing.

Aviel will not knowingly use confidential project information for public marketing purposes without appropriate authorization.

9. TESTIMONIALS AND REVIEWS

If you voluntarily provide a testimonial, review, photograph, or other endorsement of Aviel, you authorize Aviel to reproduce and display that material for legitimate marketing and business purposes, subject to any restrictions agreed upon in writing.

Aviel does not knowingly publish fabricated, materially misleading, or deceptive testimonials.

AVIEL DOES NOT WARRANT THAT:

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVIEL AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVIEL'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AVIEL FOR USE OF THE WEBSITE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

This limitation does not apply to liability that cannot lawfully be limited or excluded under applicable law.

Nothing in these Terms is intended to limit liability for fraud, intentional misconduct, or other liability that cannot legally be limited.

16. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Aviel and its owners, officers, directors, employees, contractors, agents, affiliates, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your violation of these Terms;

  • Your misuse of the Website;

  • Your violation of applicable law or the rights of another person or entity;

  • Information or User Content you submit to Aviel; or

  • Your fraudulent, negligent, or intentional misconduct.

This provision does not require you to indemnify Aviel for claims to the extent caused by Aviel's own conduct where such indemnification would be prohibited by applicable law.

17. PROFESSIONAL SERVICES

Use of the Website does not itself establish an attorney-client, engineering, contractor-client, fiduciary, employment, partnership, joint venture, or other special relationship between you and Aviel.

If Aviel provides professional services to you, those services will be governed by the applicable Service Agreement.

Service Agreements may contain additional provisions regarding:

  • Scope of work;

  • Project schedules;

  • Change orders;

  • Payment obligations;

  • Deposits and progress payments;

  • Equipment procurement;

  • Installation;

  • Site conditions;

  • Permits and inspections;

  • Client responsibilities;

  • Warranties;

  • Service and maintenance;

  • Intellectual property;

  • Cancellation or termination;

  • Insurance;

  • Dispute resolution; and

  • Limitations of liability.

18. ELECTRONIC COMMUNICATIONS

When you communicate with Aviel electronically, including by email or through Website forms, you consent to receive electronic communications in response to your inquiry.

Electronic communications may include notices, proposals, scheduling information, project communications, and other business-related correspondence.

Electronic communications do not necessarily constitute a binding agreement unless expressly authorized or agreed to by Aviel.

19. NO PROFESSIONAL ADVICE

Information provided through the Website is general information and should not be considered professional advice specific to your project, facility, technology environment, electrical system, network infrastructure, acoustics, structural conditions, code compliance, safety requirements, or other circumstances.

Project-specific recommendations should be based on an appropriate site evaluation, design process, engineering review, and applicable professional standards.

20. FORCE MAJEURE

Aviel will not be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to natural disasters, fire, flood, severe weather, acts of government, labor disputes, transportation interruptions, supply-chain disruptions, manufacturer delays, equipment shortages, utility failures, telecommunications failures, cyber incidents, internet outages, acts of war, terrorism, epidemics, pandemics, or other events beyond Aviel's reasonable control.

Project-specific force majeure provisions may be addressed separately in an applicable Service Agreement.

21. MODIFICATIONS TO THESE TERMS

Aviel may modify these Terms from time to time.

When we make material changes, we may update the “Last Updated” date and, where appropriate, provide additional notice.

Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

22. TERMINATION

We may suspend or terminate your access to the Website at any time, with or without notice, if we reasonably believe that you have violated these Terms, applicable law, or the rights of another person.

Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

23. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Any dispute arising from or relating to these Terms or your use of the Website will be subject to the applicable federal and state courts located in California, unless applicable law requires otherwise.

24. DISPUTE RESOLUTION

Before initiating formal legal proceedings regarding a dispute arising from your use of the Website, you agree, where legally permissible, to first contact Aviel and provide a reasonable opportunity to resolve the matter informally.

This provision does not limit any right or remedy that cannot legally be waived, including rights provided under applicable consumer protection laws.

Any dispute-resolution requirements contained in a separate Service Agreement will control over this section for disputes concerning professional services provided under that agreement.

25. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

26. NO WAIVER

Aviel's failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

27. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Accessibility Statement, and any applicable Service Agreement, constitute the applicable agreement between you and Aviel concerning the subject matter addressed herein.

For professional services, the applicable Service Agreement will govern the relationship and project-specific obligations between Aviel and the client.
